Leemhuis Legal, PLLC is a business law firm based in Northwestern Pennsylvania and the Colorado front range that represents entrepreneurs, businesses, and non-profit organizations. Our expertise includes start-up work dealing with choice of entity questions and entity formation for all types of legal entities including corporations, sole proprietors, partnerships, limited liability companies, benefit companies and non-profit organizations. We work closely with the organization’s accountants, bankers, and professional advisors to help launch and grow the venture. Our intent is to establish an ongoing professional relationship with our clients for the duration of their venture.

We also have extensive experience in the area of capital formation ranging from traditional bank financing to the sale of securities via private placements, angel investment, venture capital funding, and public offerings. We have advised our clients through business acquisitions and divestitures by negotiating the structure of the deal and leading due diligence investigations. We are pleased to counsel clients in the emerging area of social entrepreneurship by assisting with B Lab certification, establishing governance documents for benefit companies, acting as benefit director on the board of directors, and working with our clients and like-minded advisors to position the venture for success in all aspects of its mission including environmental impact, human resource development, and community engagement.
